EZ4X4 Referral Program Terms & Privacy

• Merchant / We / Us: EZ4X4.
• Program: The EZ4X4 Referral Program.
• Referrer: An individual or entity approved to participate in the Program.
• Referral Link: A unique tracking link generated for the Referrer.
• Coupon Code: A discount code that may be assigned to a Referrer at the Merchant’s discretion and is valid for referred customers only.
• Qualified Purchase: A completed customer order that is not refunded, canceled, or charged back within the Merchant's designated review period of 30 days.
• Promotional Credit: Non-cash promotional shopping credit issued to a Referrer’s account for use on the Merchant’s website.

To be eligible for the Program, you must be at least 18 years old. By applying, you represent and warrant that you meet these requirements. Participation in the Program is subject to approval by the Merchant. The Merchant reserves the sole and absolute right to approve or deny any application for any reason, with or without notice. Denial of participation does not entitle the applicant to any legal recourse.

Referrers agree to promote the Merchant honestly, lawfully, and in good faith.

Disclosure Requirements Referrers must clearly and conspicuously disclose their relationship with the Merchant in all communications where a referral link or coupon code is shared. This disclosure must be easy to see and understand. For social media, this includes using hashtags such as #ad, #sponsored, or #EZ4X4Partner.

Prohibited Activities Prohibited activities include, but are not limited to:

• Referring yourself, including orders placed for your own benefit or for members of your immediate household.
• Using your own referral link or any assigned referral coupon code for personal purchases.
• Applying a referral coupon code to orders placed for your own benefit, directly or indirectly.
• Engaging in spam, misleading advertising, or false claims.
• Impersonating the Merchant or representing yourself as an employee or official partner.
• Advertising unassigned, private, or restricted coupon codes.
• Using paid search ads, trademark bidding, or unauthorized promotions unless expressly approved.
• Manipulating tracking, cookies, or referral attribution in any way.

Violation of these rules may result in immediate termination of participation and forfeiture of rewards.

Referral links are generated automatically and may also be created for specific products or collections.

Attribution and Priority Referral attribution follows a last-click model. If a customer clicks multiple referral links, the most recent valid referral link prior to purchase will be credited. In the event that a referred customer uses both a referral link and a referral coupon code, the coupon code will take priority for attribution purposes. No double rewards or "stacking" of referral credits will be permitted for a single transaction.

Coupon Code Rules Coupon codes assigned to Referrers: - Are for referred customers only and may not be used by the Referrer for personal purchases. - May not be shared as general public discounts unless expressly authorized. - May not be submitted to public coupon aggregator sites, deal forums, or browser extensions (e.g., Honey, RetailMeNot). Any rewards generated from such sources will be voided. - Do not generate double rewards when used in combination with a referral link.

• Referrers earn promotional credit for Qualified Purchases made through valid referrals.
• Rewards are calculated based on the order subtotal only and exclude taxes, shipping, and other fees.
• Promotional credit is issued only for completed transactions and becomes available after the Merchant’s 30-day review period.
• Orders that are refunded, canceled, or charged back are not eligible, and any related promotional credit will be reversed.
• Promotional credit is subject to the expiration terms outlined in Section 6.
• Rewards will not be issued for purchases made prior to the Referrer’s enrollment in the Program.

Promotional credit is issued for promotional purposes only. It has no cash value, is non-transferable, and may not be redeemed for cash or equivalents.

Usage and Expiration

• Standard Expiration: Promotional credit does not expire while the Program is active.
• Program Discontinuation: The Merchant reserves the right to terminate the Program at any time. In the event of Program termination, Referrers will be provided with one (1) month's notice to redeem any remaining promotional credit, after which all unused credit will be forfeited.
• Redemption: Promotional credit can be applied to purchases on the Merchant’s website but cannot be combined with other offers, discounts, or promotions unless expressly permitted.

Fair Use Policy The Program operates under a fair-use policy. The Merchant reserves the right to review, delay, deny, reverse, or withhold promotional credit if fraud, abuse, or policy violations are suspected. All reward determinations made by the Merchant are final. Issued promotional credit balances may be forfeited if a Referrer’s account is terminated due to a violation of these Terms.

The Program uses cookies to track referrals and attribute Qualified Purchases to Referrers.

Tracking Mechanics - Cookie Duration: Tracking cookies remain active for 30 days from the initial click of a Referral Link. If a customer makes an eligible purchase during this active period, the referral will be attributed to the Referrer, provided no other referral link was clicked subsequently. - Last-Click Attribution: Tracking follows a last-click model. If a customer clicks multiple referral links, only the most recent valid link clicked prior to the purchase will receive credit. - Requirements: Customers must have cookies enabled for referrals to be properly tracked. If cookies are blocked, deleted, or unsupported by the customer's browser, tracking will fail, and rewards will not be issued.

Disclaimers Tracking is provided on a best-effort basis. The Merchant is not responsible for technical tracking failures, browser settings, or user actions that prevent the successful placement or retrieval of tracking cookies.

The Merchant reserves the right to modify, suspend, or discontinue the Program or these Terms at any time.

Notification of Changes Material changes to the Program or these Terms will be communicated to Referrers via the email address associated with their account or by a prominent notice on the Program’s dashboard/website. It is the Referrer’s responsibility to review these Terms periodically.

Acceptance Continued participation in the Program following the posting or notification of any changes constitutes the Referrer’s binding acceptance of the revised Terms.

Voluntary Removal Referrers may request removal from the Program at any time by contacting info@ez4x4.net. Upon voluntary removal, any unused promotional credit will be forfeited unless redeemed prior to the request.

Termination by Merchant The Merchant reserves the right to suspend or terminate a Referrer’s participation at any time, with or without notice, for reasons including but not limited to: - Violation of Terms: Any breach of the conduct rules outlined in Section 3. - Abuse or Fraud: Suspected manipulation of the tracking system or referral rewards. - Inactivity: Failure to generate any referral clicks or Qualified Purchases for a period of six (6) consecutive months.

Effect of Termination If participation is terminated for cause (violation of terms or fraud), all earned and unused promotional credit is immediately forfeited. If terminated for inactivity, the Merchant may, at its discretion, allow a grace period for the redemption of existing credits before they are voided.

Referrer Responsibility Referrers are solely responsible for any federal, state, local, or international taxes, social security obligations, VAT, or other reporting requirements related to rewards earned through the Program.

Tax Reporting and Compliance The Merchant complies with all applicable tax laws in the jurisdictions where it operates.

• US-Based Referrers: If a Referrer’s earned rewards exceed the applicable legal threshold (e.g., $600 USD in a calendar year), the Merchant may be required to report these earnings to the IRS and issue a Form 1099-NEC.
• International Referrers: Referrers located outside the United States are responsible for complying with the tax laws of their own country. The Merchant is not responsible for withholding or paying any international taxes on behalf of the Referrer.

Information Requests The Merchant reserves the right to request a completed Form W-9 (for US residents), Form W-8BEN (for non-US residents), or other necessary tax identification information as a condition of issuing or maintaining rewards. Failure to provide requested tax information within thirty (30) days of a request may result in the forfeiture of rewards or termination from the Program.

"As Is" Basis The Program and all related tracking, links, and rewards are provided on an “as is” and “as available” basis. The Merchant makes no warranties, express or implied, regarding the Program’s functionality, uptime, or accuracy.

Exclusion of Damages To the maximum extent permitted by law, the Merchant shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, loss of data, or loss of rewards resulting from tracking failures or technical malfunctions.

Liability Cap In no event shall the Merchant’s total aggregate liability to any Referrer for all claims arising out of or related to the Program exceed the total amount of promotional credit successfully earned by that Referrer in the six (6) months immediately preceding the event giving rise to the claim.

Governing Law These Terms and the Program shall be governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict-of-law principles.

Exclusive Jurisdiction Any legal action, suit, or proceeding arising out of or relating to these Terms or the Program shall be instituted exclusively in the federal or state courts located in New Haven County, Connecticut.

Consent to Jurisdiction By participating in the Program, the Referrer hereby irrevocably consents to the personal jurisdiction of such courts and waives any objection to the laying of venue in such courts on the grounds of an inconvenient forum or otherwise.
